SPECIFICALLY, PLEASE REFER TO SECTION 16 BELOW, WHICH REQUIRES THAT CERTAIN DISPUTES BE SETTLED THROUGH MANDATORY BINDING ARBITRATION WHICH WILL PRECLUDE YOU FROM LEADING OR PARTICIPATING IN A CLASS ACTION.
AMONG OTHER ACTIVITIES, GAIA'S SERVICES PROVIDE GENERAL HEALTH AND WELLNESS INFORMATION AND ENABLE COORDINATION AND COMMUNICATION WITH A HEALTH CARE PROVIDER. IT DOES NOT REPLACE YOUR RELATIONSHIP WITH ANY PHYSICIAN OR MEDICAL SERVICE, AND GAIA ITSELF DOES NOT PROVIDE MEDICAL OR HEALTH ADVICE, CARE, DIAGNOSIS, OR TREATMENT. NONE OF THE CONTENT SHOULD BE CONSIDERED MEDICAL ADVICE OR AN ENDORSEMENT, REPRESENTATION, OR WARRANTY THAT ANY PARTICULAR MEDICATION OR TREATMENT IS SAFE, APPROPRIATE, OR EFFECTIVE FOR YOU. IF YOU HAVE A MEDICAL EMERGENCY, IMMEDIATELY CALL YOUR DOCTOR OR DIAL 911.
Acceptance of the Terms of Use
These terms of use are entered into by and between you and Gaia Family I Inc. ("Gaia," "we," or "us"). The following terms and conditions ("Terms") govern your access to and use of www.benefits.gaiafamily.com, including any content, functionality, and services offered on or through www.benefits.gaiafamily.com (the "Website" or "Services").
Please read the Terms carefully before using the Website. By using the Website and the Services, you accept and agree to these Terms and our Privacy Policy, found at https://gaiafamily.com/en-us/privacy-policy, incorporated herein by reference. If you do not want to agree to these Terms or the Privacy Policy, you must not access or use the Website and must cease using the Services immediately.
Changes to these Terms
This Website is continually under development, and Gaia reserves the right to revise or remove any part of these Terms in its sole discretion at any time and without prior notice to you (however, Gaia will attempt to provide you with prior notice of any material changes). Any changes to these Terms are effective when we post them to the Website. Unless otherwise indicated, any new Content added to the Website is also subject to these Terms when posted to the Website. If you disagree with these Terms, your only option is to discontinue your use of the Website. If you continue to use the Website after a change has been posted, you are accepting such changes.
Accessing the Services
Your (or your partner’s) employer (“your Employer”) has partnered with us to make fertility care more accessible to you. Your Employer is not a party to this Agreement. For you to create an account on the Website (each a “User Account”), your Employer must have entered into a written contract with us (an “Employer Agreement”). You understand that your ability to use the Service depends on (1) your Employer’s determination of who is eligible to receive the Service; (2) the Employer Agreement remaining effective; and (3) the Employer’s compliance with the Employer Agreement.
If at any time your Employer changes your eligibility status, violates certain terms of the Employer Agreement, or the Employer Agreement expires or is terminated, your access to the Service may be suspended or terminated as a result.
We reserve the right to withdraw or amend any Service or Content we provide on the Website, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Website is unavailable at any time or for any period. From time to time, we may restrict user access, including registered user access, to some parts of the Website or the entire Website.
User Accounts
Each user of the Website (“User”) must have their own User Account (or, where a User has given Gaia permission to do so, a separate login to their partner’s User Account) to access the Service. When creating your User Account, you must provide accurate and complete information, and you must keep this information up to date. Gaia relies on this information to provide the Service and does not independently verify the information you give us. If you give us incorrect information, your ability to receive the Service, including the processing of reimbursements, may be impacted. Gaia has no liability for any incorrect information that you provide.
You are solely responsible for the activity that occurs on your User Account, whether or not authorized by you, and you must keep your User Account password secure. You must notify us immediately of any breach of security or unauthorized use of your User Account. You may control your User profile and how you interact with the Service by changing your settings in your User Account.
You may not transfer or share your password with anyone or create more than one account. You may not use anyone else's account at any time. Gaia explicitly disclaims liability for any and all losses and damages arising from your failure to comply with this section.
Any abusive, threatening, or inappropriate behavior directed toward any Gaia representatives will not be tolerated. You agree that violation of this provision may result in temporary suspension or permanent removal of your access to the Service.
We have the right to disable any account at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms.
Availability
Certain Services are currently only available to individuals located in certain states. You will be provided with notice of such limitations on availability of Services in your location when using those parts of the Services.
The Services are provided for use in the United States. If you access the Services from outside the United States, you do so at your own risk and you are solely responsible for compliance with local laws.
Eligibility
Our Services are intended for use by you only if you are 18 years of age or over. To qualify to use the Services, the following must be true, and by accessing or using the Services, you represent and warrant that they are true:
- You are age 18 or over.
- You are located in a state where we operate (depending on the type of Services).
- You have agreed to be legally bound by and comply with these Terms.
You understand and agree that satisfying the above requirements does not guarantee that you will receive Services. A number of our Services are subject to additional requirements, such as credit eligibility. Gaia and certain affiliated professional entities reserve the right to change or include new requirements as deemed appropriate in their sole discretion without providing prior notice to you.
Intellectual Property Rights
The Website and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) (the "Content") are owned by Gaia, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
You are not permitted to reproduce, publish, distribute, modify, reverse engineer, disassemble, create derivative works of, publicly display, publicly perform, republish, download, store, transmit, sell or participate in any sale of, or exploit in any way, in whole or in part, any of the Services or Content except as permitted by these Terms or otherwise by Gaia expressly in writing. Any copy, modification, revision, enhancement, adaptation, translation, or derivative work of the Services or Content shall be owned solely and exclusively by Gaia or its licensors, including all intellectual property rights therein. You may not access or use for any commercial purposes any part of the Services or Content.
Certain names, logos, and other materials displayed in and through the Services may constitute trademarks, trade names, service marks or logos ("Marks") of Gaia or its affiliates. You are not authorized to use any such Marks without the express written permission of Gaia. Ownership of all such Marks and the goodwill associated therewith remains with us or our affiliates.
Subject to your compliance with these Terms, we hereby grant to you a personal, limited, revocable, non-exclusive, and nontransferable right to view, download, access, and use the Services and Content solely for your personal and non-commercial use and only as permitted under these Terms and the Privacy Policy. No other right, title, or interest in or to the Services or Content is transferred to you, and all rights not expressly granted are reserved by Gaia or its licensors.
Reliance on Information Posted
Gaia does not provide, and nothing on the website is intended to be, financial, tax or medical recommendations or advice. The information presented on or through the Website is made available solely for general information purposes. We do not warrant the accuracy, completeness, or usefulness of this information. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to the Website, or by anyone who may be informed of any of its contents.
This Website may include content provided by third parties, including materials provided by other users, bloggers, and third-party licensors, syndicators, aggregators, and/or reporting services. Interactions with Care Providers and Health or Wellness Professionals
We are not a party to any interaction or transaction between you and any health or wellness professional you interact with through the Service (each a “Health or Wellness Professional”), or any third-party care provider, telemedicine provider, or pharmacy service provider whose information or care is made available via the Service (each a “Care Provider”).
Your dealings with Health or Wellness Professionals or Care Providers, including your eligibility to receive services from them, are solely between you and the applicable Health or Wellness Professional or Care Provider. Accordingly, before interacting with, engaging with, or receiving services from a Health or Wellness Professional or Care Provider, you should make whatever investigation you feel necessary and appropriate.
The inclusion of a Health or Wellness Professional or Care Provider on the Service does not imply recommendation or endorsement by Gaia, nor is such information intended as a tool for verifying their credentials, qualifications, or abilities. You understand that these Terms and our Privacy Notice do not apply to your interactions with Health or Wellness Professionals or the services you receive from Care Providers or third parties, nor to any information that you may provide to Health or Wellness Professionals or Care Providers.
While we use reasonable efforts to ensure that the information for Care Providers is accurate and up to date, we make no guarantee that such information is, in fact, accurate or up to date, as such information is subject to change based on information we receive from such providers. These changes may affect the cost of the services you receive from such providers. Further, service descriptions for Care Providers provided via the Service are not intended to constitute offers to sell or solicitations in connection with any product or service. Not all services are available in all areas due to a variety of factors, including variations in applicable law from area to area.
TO THE EXTENT THAT YOU RECEIVE MEDICAL CARE FROM ANOTHER PARTY (INCLUDING ANY CARE PROVIDER THAT YOU MAY OBTAIN ACCESS TO THROUGH OUR SERVICES), THAT MEDICAL CARE IS SEPARATE FROM AND UNRELATED TO THE SERVICES PROVIDED BY US. Your treating provider is responsible for obtaining your informed consent to any medical diagnosis, treatment, or therapy in connection with that medical care, including, without limitation, any legally required consent to use telemedicine. We are not responsible or liable for any advice, course of treatment or therapy, diagnosis, or any other information, services, or products that you may obtain from any third parties in connection with or as a result of using the Services.
Any disputes between you and any Health or Wellness Professional, Care Provider, or other third party are solely between you and the applicable Health or Wellness Professional, Care Provider, or other third party, and you agree that we have no obligation to become involved.
Prohibited Uses
You may use the Website only for lawful purposes and in accordance with these Terms. You agree not to use the Website:
- In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the United States or other countries).
- For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.
- To transmit, or procure the sending of, any advertising or promotional material without our prior written consent, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
- Harass, annoy, intimidate, or threaten any of our employees or agents engaged in providing any portion of the Services to you.
- Attempt to bypass any measures of the Services designed to prevent or restrict access to the Services, or any portion of the Services.
- To impersonate or attempt to impersonate Gaia, a Gaia employee, another user, or any other person or entity (including, without limitation, by using email addresses associated with any of the foregoing).
- To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Website, or which, as determined by us, may harm Gaia or users of the Website, or expose them to liability.
Additionally, you agree not to:

Limitation on Liability
GAIA SHALL NOT BE LIABLE FOR THE ACTS OR OMISSIONS OF ANY HEALTH CARE PROVIDER THAT PROVIDES SERVICES TO YOU IN CONNECTION WITH GAIA OR GAIA’S SERVICES. Indemnification
You agree to defend, indemnify, and hold harmless Gaia, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Website, including, but not limited to any use of the Content and Services other than as expressly authorized in these Terms, or your use of any information obtained from the Website.
User Data
We will maintain certain data that you transmit to the Services for the purpose of managing the performance of the Services, as well as data relating to your use of the Services. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Services. You agree that we shall have no liability to you for any loss or corruption of any such data, and you hereby waive any right of action against us arising from any such loss or corruption of such data.
Governing Law
All matters relating to the Website and these Terms, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Delaware without giving effect to any choice or conflict of law provision or rule (whether of the State of Delaware or any other jurisdiction).
Dispute Resolution; Arbitration Agreement
We will try to work in good faith to resolve any issue you have with Website, if you bring that issue to the attention of our customer service department. However, we realize that there may be rare cases where we may not be able to resolve an issue to a customer’s satisfaction.
You and Gaia agree that any dispute, claim or controversy arising out of or relating in any way to these Terms or your use of the Website, shall be determined by binding arbitration instead of in courts of general jurisdiction. Arbitration is more informal than bringing a lawsuit in court. Arbitration uses a neutral arbitrator instead of a judge or jury, and is subject to very limited review by courts. Arbitration allows for more limited discovery than in court, however, we agree to cooperate with each other to agree to reasonable discovery in light of the issues involved and amount of the claim. Arbitrators can award the same damages and relief that a court can award, but in so doing, the arbitrator shall apply substantive law regarding damages as if the matter had been brought in court, including without limitation, the law on punitive damages as applied by the United States Supreme Court. You agree that, by agreeing to these Terms, the U.S. Federal Arbitration Act governs the interpretation and enforcement of this provision, and that you and Gaia are each waiving the right to a trial by jury or to participate in a class action. This arbitration provision shall survive termination of these Terms and any other contractual relationship between you and Gaia.
If you desire to assert a claim against Gaia, and you therefore elect to seek arbitration, you must first send to Gaia, by certified mail, a written notice of your claim (“Notice”). The Notice to Gaia should be addressed to: Gaia, 387 Park Ave South, 5th Floor, New York, NY 10016 (“Notice Address”). If Gaia desires to assert a claim against you and therefore elects to seek arbitration, it will send, by certified mail, a written Notice to the most recent address we have on file or otherwise in our records for you. A Notice, whether sent by you or by Gaia, must (a) describe the nature and basis of the claim or dispute; and (b) set forth the specific relief sought (“Demand”). If Gaia and you do not reach an agreement to resolve the claim within 30 days after the Notice is received, you or Gaia may commence an arbitration proceeding or file a claim in small claims court. During the arbitration, the amount of any settlement offer made by Gaia or you shall not be disclosed to the arbitrator. You may download or copy a form Notice and a form to initiate arbitration from the American Arbitration Association at www.adr.org. If you are required to pay a filing fee, after Gaia receives notice at the Notice Address that you have commenced arbitration, it will promptly reimburse you for your payment of the filing fee, unless your claim is for more than US $10,000. The arbitration will be governed by the Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes (collectively, “AAA Rules”) of the American Arbitration Association (“AAA”), as modified by these Terms, and will be administered by the AAA. The AAA Rules and Forms are available online at www.adr.org, by calling the AAA at 1-800-778-7879, or by requesting them from us by writing to us at the Notice Address. The arbitrator is bound by the terms of these Terms. All issues are for the arbitrator to decide, including issues relating to the scope and enforceability of these Terms, including this arbitration agreement. Unless Gaia and you agree otherwise, any arbitration hearings will take place in the county (or parish) of your billing address. If you reside outside of the United States, any arbitration hearings will take place in your country of residence at a location reasonably convenient to you, but will remain subject to the AAA Rules including the AAA rules regarding the selection of an arbitrator. If your claim is for US $10,000 or less, we agree that you may choose whether the arbitration will be conducted solely on the basis of documents submitted to the arbitrator, through a telephonic hearing, or by an in-person hearing as established by the AAA Rules. If your claim exceeds US $10,000, the right to a hearing will be determined by the AAA Rules. Regardless of the manner in which the arbitration is conducted, the arbitrator shall issue a reasoned written decision sufficient to explain the essential findings and conclusions on which the award is based. If the arbitrator issues you an award that is greater than the value of Gaia’s last written settlement offer made before an arbitrator was selected (or if Gaia did not make a settlement offer before an arbitrator was selected), then Gaia will pay you the amount of the award or US $1,000, whichever is greater. Except as expressly set forth herein, the payment of all filing, administration and arbitrator fees will be governed by the AAA Rules. Each party shall pay for its own costs and attorneys’ fees, if any. However, if any party prevails on a statutory claim that affords the prevailing party attorneys’ fees, or if there is a written agreement providing for payment or recovery attorneys’ fees, the arbitrator may award reasonable fees to the prevailing party, under the standards for fee shifting provided by law.
YOU AND GAIA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and Gaia agree otherwise, the arbitrator may not consolidate more than one person’s claims with your claims, and may not otherwise preside over any form of a representative or class proceeding. The arbitrator may award declaratory or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party’s individual claim.
If this Agreement to Arbitrate provision is found to be unenforceable, then (a) the entirety of this arbitration provision shall be null and void, but the remaining provisions of these Terms shall remain in full force and effect; and (b) exclusive jurisdiction and venue for any claims will be in state or federal courts located in and for New Castle County, Delaware.
Waiver and Severability
No waiver by Gaia of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Gaia to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
Force Majeure
We will not be deemed to be in breach of these terms or liable for any breach of these Terms or our Privacy Notice due to any event or occurrence beyond our reasonable control, including without limitation, acts of God, terrorism, war, invasion, failures of any public networks, electrical shortages, earthquakes or floods, civil disorder, strikes, fire or other disaster.
Electronic communications, transactions, and signatures
Sending us emails, completing online forms and using chat features on the Website constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Services, satisfy any legal requirement that such communication be in writing. Consent to receive calls and texts
By providing your mobile number, you are agreeing to be contacted by or on behalf of Gaia at the mobile number you have provided, including calls and text messages, to receive informational, Service related (e.g., application updates, appointment reminders, payment reminders, etc.) and marketing communications relating to the Website and Services. Message and data rates may apply. Note that access to the Services is not conditioned upon your consent to receive marketing or promotional text messages from Gaia, and you can opt-out of any of Gaia’s SMS services at any time by texting "STOP" to the message received, from the mobile device that is subscribed to receive the SMS messages. After you send the text message "STOP" to us, we may send you one final text message to confirm that you have been unsubscribed. If you have opted-in to receive more than one type of text message from Gaia, you will need to opt-out of each Gaia SMS service to which you are subscribed. Keep in mind that if you stop receiving text messages from us you may not receive important and helpful information and reminders about your appointments and payments.
You also understand that while Gaia takes your privacy and the security of your health and other sensitive information very seriously, the transmission of information over the internet and mobile networks is not 100% secure. Text messages and emails that you send to or receive from Gaia are not encrypted, which means that it is possible they may be intercepted by third parties. If you choose to send or receive information about your health or any other sensitive information by text message or email, you do so at your own risk.
Gaia Plans
The Gaia Plans provided on the Website are indicative only. Your final Gaia Plan will be set out in your Gaia membership agreement. Unless otherwise communicated to you in writing by Gaia, you will have three months to sign your Gaia membership agreement after it is sent to you.
Gaia reserves the right to change or withdraw your Gaia Plan at any time before you sign your Gaia membership agreement. We will always notify you of any changes and the reasons for those changes. Examples of reasons why we may need to change or withdraw your Gaia Plan are changes in your financial situation, changes to your treatment path or changes to the cost of your treatment.
All Gaia Plans are offered at Gaia’s sole discretion and are subject to availability and eligibility and the detailed terms and conditions which will be set out in your Gaia membership agreement. We may choose not to offer, or to withdraw an offer of, a Gaia Plan if we are concerned that you do not understand your Gaia Plan or the financial implications of your Gaia Plan.
If you believe that we have made a mistake in your Gaia Plan or in our decision not to offer you a Gaia Plan, please contact us.
Purchases and payments
You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Services. You further agree to promptly update account and payment information, including email address, payment method, and payment card expiration date, so that we can complete your transactions and contact you as needed. Sales tax will be added to the price of purchases as deemed required by us. We may change prices at any time. All payments shall be in US dollars.
You agree to pay all charges at the prices then in effect for your purchases and any applicable shipping fees, and you authorize us to charge your chosen payment provider for any such amounts upon placing your order. If your order is subject to recurring charges, then you consent to our charging your payment method on a recurring basis without requiring your prior approval for each recurring charge, until such time as you cancel the applicable order. We reserve the right to correct any errors or mistakes in pricing, even if we have already requested or received payment.
We reserve the right to refuse any order placed through the Services. We may, in our sole discretion, limit or cancel quantities purchased per person, per household, or per order. These restrictions may include orders placed by or under the same customer account, the same payment method, and/or orders that use the same billing or shipping address. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers, or distributors.
Entire Agreement
The Terms are the entire agreement between you and Gaia relating to the subject matter herein and supersedes all previous communications, representations, understandings and agreements, either oral or written, between the parties with respect to said subject matter, excluding any other agreements that you may have entered into with Gaia.

Sensitive Personal Information
Sometimes we will request or receive Personal Information that is sensitive due to its nature, and we call this “Sensitive Personal Information”. The types of Sensitive Personal Information that we hold, and process include:
- Health and lifestyle data – including details of pre-existing or past medical conditions, your family medical history, details regarding appointments and consultations with medical professionals, diagnoses, medical records, whether you do or have ever smoked, details regarding alcohol consumption.

Conditions for processing Sensitive Personal Information
We process sensitive personal information only to provide you Services that you have requested from us, and to perform or secure associated services on behalf of our business, such as customer service, processing payments, verifying customer information, maintaining and servicing customer accounts, or similar services. We will only process this data with explicit consent from the user or in accordance with applicable law. We may collect this data and your explicit consent, either before or after entering a contract and providing the Gaia Plan. Additionally, where we collect additional sensitive health and lifestyle data throughout the course of your engagement with us, we will always ensure that we have your explicit consent to do so.

Where personal information is processed because it is necessary for the performance of a contract to which you are a party, we will be unable to provide our Services without the required information.
Sharing your data and third parties
Third parties assist us in our marketing efforts, to deliver our products to you and in the provision of our services. We may disclose your personal information to law enforcement agencies and regulatory bodies to comply with our legal and regulatory obligations.
We may also need to share some personal information with other parties, such as potential buyers of some or all of our business or during a restructuring. Usually, data will be anonymised but this may not always be possible. The recipient of the data will be bound by confidentiality obligations.
